Bylaws

This document briefly explains the World Design Consortium. All stake holders; Partners, Agents and the WDC Secretariat (i.e. WDC Members) are required to follow these guidelines and bylaws. The purpose of the WDC is to help development of design field and discipline by channeling design related jobs to the right stakeholders; award winning design companies and enterprises who have proven their worth.

WDC

WDC is the World Design Consortium. WDC can establish any size of projects thanks to its Partners. Partners are classified as Creative, Senior and Leading. Agents help Partners to find leads, and are rewarded referral value upon job completion and payment. Some tasks require many Partners to collaborate, in this cases a Sub-Consortium is founded, leaded by a Managing Partner, who is additional rewarded design management value. Partners respect each other, and the model is based on mutual trust. This is WDC.

Core Values and Principles

WDC is apolitical and WDC members provides other WDC Members with advice that is frank, honest, timely and based on the best available evidence. WDC Members are professional, creative, objective, innovative and efficient, and works collaboratively to achieve the best results for the World Design Consortium. WDC members respect other WDC Members and are ethical. WDC members demonstrate leadership, are trustworthy, and acts with integrity. WDC and WDC Members are committed to the highest standards of ethical conduct in all that it does.

Competition

WDC members compete fairly and vigorously in design, engineering and architecture sectors and do not engage in, any agreements, business practices or conduct that, as a matter of law, are anti-competitive; the purpose of WDC is to create ways for members to form larger bodies such as Sub-Consortia which could tackle design, engineering or architecture projects that would be harder for single members to do themselves. Leading WDC Partners help younger, creative partners.

Prohibitions

WDC does not offer, promise, give, demand or accept bribes or other unethical inducements, including extortion, in order to obtain, retain or give business or other advantage and takes all reasonable measures within its power to ensure that its Partners and Agents follow the same practice. Those who do not obey the WDC Partners are expelled.


 

WDC Secretariat

The WDC Secretariat is responsible for the continuity and the day to day management of the World Design Consortium, The WDC Secretariat ensures that the World Design Consortium operations are continued, prestige increased and the rights protected. The WDC Secretariat maintains an up-to-date register of all entities who uses the WDC Partner & Agent logos and performs occasional controls to ensure their correct use; The WDC Secretariat verifies the rules for logo use and their conformity with the WDC Partner and Agent Badge Usage Rules and, whenever necessary, implements corrective or preventive actions. WDC Secretariat maintains up to date relevant information about the WDC activities, member projects, tender processes, and makes available technical knowledge and knowhow to WDC Partners and Agents. The WDC Secretariat provides support for the accreditation, standardization and networking activities. The WDC Secretariat promotes actions for the dissemination and promotion of WDC, and is responsible for institutional relations of WDC. The WDC Secretariat also undertakes: Implementing the process of recognition of entities in the scope of the WDC certification and honouring system, Organizing, hosting and overseeing training courses for design, arts, architecture and engineering domains, Establishing or recognizing guides to good design, arts, architecture and engineering practices, Organizing networking events, and Publishing the “Passa Parola Networking Book”, Publishing the “WDC Members’ Annual”. Currently, the title of the WDC Secretariat is given to OMC Design Studios SRL, Via Rodari 9, 22100, Como / Italy. Creative Partners

Creative Partners are individual design providers, private entities. Partners are; Professional Architects, Designers, Engineers and Artists who are working independently from other organizations or companies, or who even though are employed by other institutions continue to provide professional design, engineering and architecture services to third parties. Creative Partners are the basic block of creativity; i.e. they are the first level creators who come up with initial ideas, concepts, designs and innovations. Creative Partners often work with Senior and Leading Partners, but they could also work as freelancers, in partnership with other Creative Partners or home-office style. Creative Partners are usually highly specialized at a certain design task or niche, being able to deliver results and ideas fast in their design specialization. Creative Partners can use the "World Design Consortium Creative Partner Logo" in their communications, and are included in the "Passa Parola Networking Book" and "WDC Members' Annual". In, WDC terms, The Creative Partner, is defined as a private person or entity who has won at least 1 Platinum or Gold A' Design Awards, or a registered company which has won at least 1 Platinum, Gold or Silver A' Awards and who also has a turnover of more than one-hundred thousand dollars or equivalent.Within WDC, the role of the Creative Partner is to network with other partners, to pass the other partners jobs outside their own specialization, bid to tender and price quote posts as provided by other partners and the WDC Secretariat, and to promote the WDC itself, and to follow and learn from the Senior and Leading Partners.


 

Senior Partners

Senior Partners are businesses or institutions related to design; they can be design related non-profit organizations or registered companies or even private entities. Senior Partners are Architecture Offices, Design Studios, Engineering Houses, and Artists’ Workshops i.e. they are institutions who hire innovative people. Senior Partners usually hire other first-level creators to have large-scale design tasks established. They are the second level creators; they combine first level creators’ works to complete complex and multi-disciplinary design, architecture and engineering projects. Senior Partners are usually specialized at several similar design domains; i.e. they are able to deliver results and ideas fast in a set of design domains. Senior Partners can use the "World Design Consortium Senior Partner Logo" in their communications, and are included in the "Passa Parola Networking Book" and "WDC Members' Annual". In, WDC terms, The Senior Partner, is defined as a private entity or company who has won at least 5 Platinum or Gold A' Design Awards, or a registered company which has won at least 1 Platinum or Gold A' Awards and who also has a turnover of more than one million dollars or higher. Within WDC, the role of the Senior Partner is to network with other partners, to pass the other partners jobs outside their own specialization, bid to tender and price quote posts as provided by other partners and the WDC Secretariat, and to promote the WDC itself, and furthermore Senior Partners are asked to provide knowhow and share experiences with Creative Partners, and to participate in WDC Activities.



Leading Partners

Leading Partners are large brands and producers of designs and services, the can occassionally be very famous designers or architects as well. Leading Partners are, in most cases are, Large Product Manufacturers, Construction and Development Companies, National or International Service Providers and Big Architecture or Design Companies with realization capabilities. Leading Partners are third level creators: They sub-contract second level creators or employ first level creators, and are able to not just design but also realize large-scale projects which could also require initial investments. Leading Partners are specialized at large design tasks that could involve multiple design disciplines, engineering, architecture and system designs. Leading Partners can use the "World Design Consortium Leading Partner Logo" in their communications, and are included in the "Passa Parola Networking Book" and "WDC Members' Annual". In, WDC terms, The Leading Partner, is defined as a private person or registered company who has won at least 10 Platinum or Gold, A' Design Awards, or a company or partnership which has won at least 1 Platinum or Gold A' Awards and who also has a turnover of more than ten million dollars or equivalent. Within WDC, the role of the Leading Partner is to network with other partners, to pass the other partners jobs outside their own specialization, bid to tender and price quote posts as provided by other partners and the WDC Secretariat, and to promote the WDC itself, and furthermore Leading Partners are asked to provide knowhow and share experiences with Creative and Senior Partners, and are asked to participate, host or organize in WDC Activities. Leading Partners are allowed to use the “Passa Parola Book” to access exclusive contact information of other Partners.


 

Agents

Agents are other project management or consultancy companies who are not necessarily original design providers. They earn income by facilitating tasks through managing creative activities; they are organizers. WDC Agents are also classified as Creative Agents (Individuals), Senior Agents (Enterprises), and Leading Agents (International Companies or Institutions). Each WDC Partner is also automatically considered as a WDC Agent but WDC Agents are not considered as WDC Partners. The role of a WDC Agent is to collect design, engineering and architecture leads and post these leads (price quote requests, tender announcements, and business leads) to IAD 6010 Forums, or direct it to WDC Secretariat or the necessary partners. Furthermore, WDC Agents are allowed to use the “Passa Parola Book” to access exclusive contact information of Partners. In WDC terms, the Creative Agents are defined as entities with a turnover more twenty-five thousand dollars or equivalent through design management, outsourcing and sub-contracting jobs.Alternatively, Creative Agents must post at least ten design price quote requests to the IAD 6010 forums, of which at least one should turn into a real value. Senior Agents are required to have hundred thousand dollars or equivalent income through design management and tender related activities. Alternatively, Senior Agents must post at least fifty design tenders or price quote requests to the IAD 6010 forums. Leading Agents are required to have one million dollars or equivalent income through design management and related activities, or alternatively they are required to post at least hundred design tasks to the WDC Board of which around ten shall to turn into real value for other Partners. Companies or institutions can become WDC Agents by filling and submitting their applications to the WDC Secretariat.


 

Role of Agents

The role of the WDC Agent is to forward design jobs to specialized Partners within the same or lesser classification; i.e. Creative Agents can forward jobs to Creative Partners, Senior Agents can forward jobs to Creative and Senior Partners, Leading Agents can forward jobs to all partners. Any higher-level job should be forwarded to the WDC Consortium itself, so that a Leading Partner could take responsibility or management. Agents can forward also leads to the WDC itself. The World Design Consortium Secretariat is considered a Leading Agent and thus could forward tasks to any partner. Agents are also asked but not obliged to post architectural design competitions, innovation contests and design awards which award prize money, open job positions for designers and similar to the public IAD 6001 and 6002 Forums. Agents earn income through WDC by providing business leads which would be converted into transactions and real value. The mechanism for value creation is simple and involves the Agent posting at the IAD 6010 Forum with available project details such as brief, budget and contacts. The IAD 6010 Forum posts are forward to all relevant Partners. If a Partner earns income thanks to an Agents’ business lead, the Partner tips the Agent by requesting an invoice. The system is based on trust. If a Partner earns income thanks to an Agents’ business lead but if the Partner does not tip the Agent, then the Partner could be penalized or excluded from future leads.


 

Potential Value of Referrals

When a WDC Agent passes a task to any WDC Partner, the Agent creates a potential economic value. This value (Referral Value) is estimated as 4% of the total project value for Small Business, the value is set as 2% for Commercial Inquiries, 1% for Enterprise Project Inquiries, and 0.5% for Big Project Inquiries. Same principles and rates apply if the Agent passes the job to the WDC Secretariat. In this case, the Agent is routing a call, providing a lead, forwarding an email or sharing contacts. It is up to the WDC and Partners to have the project done, mediated or managed. Agents will invoice for consultancy or lead generation only after the Partner is paid in full or partially. Value Added Tax or any other tax or fees or payments are included in the Value of Referral. I.e. the Agent in Charge cannot charge more than the above mentioned rates at any condition.

Potential Value of Design Management

When a WDC Partner manages a task for another WDC Partner (such as being the head of Sub-Consortium), the Partner creates a higher potential economic value. This value is estimated as 16% of the total project value for Small Business, 8% for Commercial Inquiries, 4% for Enterprise Project Inquiries, and 2% for Big Project Inquiries. In this case, the Partner is a stakeholder in The Job. The Managing Partner will invoice for consultancy or design management only and only if the Partner in Charge is paid. The Value of Referral is already included in this case. Value Added Tax or any other tax or fees or payments are also included in the Value of Design Management. I.e. a Partner in Charge cannot charge more than the above mentioned rates at any condition.


 

Value of a Lead

Agents regularly posts possible client leads (prospective clients information and brief requirements) to the IAD boards, so that Partners could read and bid for the prospective Jobs they are interested in. This is called, posting a Lead. The Value of a Lead is 1 Karma for Small Business, 10 Karma for Commercial Inquiries, 100 Karma for Enterprise Project Inquiries, and 1000 Karma for Big Project Inquiries . As you know, Karma is not a currency but we are hoping to implement mechanisms in future to award Agents who post leads regardless of the project situation. Thus, in summary, the value of a Lead is Zero (0) in economic terms, unless that lead turns into a real Client, but we always appreciate posting Leads, and of course you gain respect of partners by posting good leads, even though they are not final clients.

Real Value

For any potential value to become real value, there must be real money. Payment by Client in full is not required, but at least 25% partial payment is required for a value to become real. Without a value becoming real, Agents or Managing Partners cannot request money and they cannot invoice other Partners. The created potential value which arises due to Referral is only paid or owed to Agents, by Partners when the value becomes real. Potential Value of Referral becoming real means that the Client pays money for the particular Job that the Agent referred to the Partner. The created potential value which arises due to Design Management is only paid or owed to Managing Partners, by Partners when the value becomes real. Potential Value of Design Management becoming real means that the Client pays money for the particular Job done by the Partner or Sub-Consortium, while being managed by the Managing Partner. Fees paid to WDC, Partners or Agents prior or after regarding tasks apart from the Job does not count toward generation of value; such as follow-up jobs or offers. When a Potential Value (of Referrals or Design Management) becomes Real Value, the Value is Matured and a Payment shall be to the Agent (for Referrals) or to Managing Partner (for Design Management Tasks). However, there is a sub limit of 25%. If a Job is not Paid for at least 25%, than the Agent or Managing Partner cannot request money. For example; Consider a Referral Job: If the Job is paid for 25% (Client pays 25% to Partner for the Referred Job, or if Client Pays 25% to the Sub-Consortium), the Agent is entitled to a 25% of the value of Referral Value; for example, for a Small Business Inquiry, the Agent would get his 25% of the 4% (which is 25% * 4% = 1%). On the other hand if a Job is paid for 20% (i.e. if Client pays only 20% worth of the Job), the Agent has to wait for other payments to be cleared before requesting a release and before invoicing the Partner. Any fees due to Agents must be paid by the Partners not Clients. Agents can never invoice the Client (Exception: WDC Secretariat) .Agents can never invoice or require funds or ask money from WDC either.


 

Client

Client is anyone who has a Job, and the necessary economic power and will to pay for the Job. Client can contact WDC directly and request a quote for a Job. In this case, the WDC Posts this information to the IAD forum 6010 (IAD Tenders and Quote Requests - A Private Forum open to IAD and WDC members). If a Client approaches an Agent for this Job, in this case, the Agent could post to IAD 6010 in order for future referral benefits. Likewise, a Partner could have been contacted for a Job that is outside the scope of their services, in this case a Partner could also post this information to IAD 6010 Forum and could gain the referral benefits.

Managing Partner

When two or more Partners come together to accomplish a certain Job, this group of Partners is called the Sub-Consortium. Managing Partner is the Partner, who is inside this Sub-Consortium as an Active role of management of the Job. Managing Partner is the Partner who keeps in touch with the Client and who is responsible for distributing value to the Sub-Consortium members. A Managing Partner could also be a Partner in Charge. There can be multiple Managing Partners in a Sub-Consortium, as agreed during initiation. It is however, suggest to have one Managing Partner which could push others to work more efficiently.

Partner in Charge

Partner in Charge is a Partner who undertakes a Job. Partner in Charge gets paid by the Client as agreed by the Client and Partner. Once the Partner in Charge is paid by the Client, the Partner in Charge pays the commissions of the Agent in Charge who have initially referred the job. Some Jobs could require multiple partners, in this case the Sub-Consortium, itself as a whole is the Partner in Charge. For Sub-Consortia, there must also be a Managing Partner. The fees and commissions are as explained in Value of a Referral and in Value of Design Management.

Agent in Charge

Agent in Charge is the Agent who referred the Job to the Partner in Charge in order to obtain a commission for the referral. Agent in Charge can be 1. A Partner, 2. An Affiliate Agent, 3. WDC itself. A Partner of a Sub-Consortium can also be an Agent in Charge; only and only if that partner is not already the Managing Partner. An Agent becomes an Agent in Charge, after the Agent posts a lead to the IAD 6010 Board, and after a Partner is able to convert the lead into a Client.

The Job

The Job is the design task undertaken by the Partner for the Project Value. A job can be anything; consultancy, realization, design management or even marketing. But here in this case, The Job is a specific task that an Agent in Charge has helped a Partner in Charge to undertake. It is not further jobs or other work; it is the fruit of the Referral by the Agent.

Project Value

The amount to be paid by the Client to the Partner for the accomplishment of the Job undertaken by the Partner in Charge, referred by the Agent in Charge. The commissions of the Agent in Charge and eventual Managing Partner depend on this value. Project Value is the documented contact value; Agents or Partners have no right to even imply that the task was established for a different value.

First Lead

When a Job is posted to IAD 6010 board by many Agents, the Agent that passes the job at the first place is entitled for all potential referral value that would mature if the Job would be paid for; i.e. second place gets nothing. All other Agents (second place, third place etc) agree not to request any value for referral. The decision of “who comes first” is decided by the WDC Secretariat based on one simple fact: Whoever posts the Job opportunity to the IAOD Board first, which is not only time-stamped, but also received as an email to the WDC Secretariat; i.e. the email mechanism makes sure that even if the database would be altered, the Secretariat will still know the time and order of posting correctly.

Code of Conduct

WDC Members must behave honestly and with integrity, act with care and diligence, treat other Partners, Agents and Secretariat with respect and courtesy, and without harassment. When making business, WDC members must comply with all applicable laws, comply with any lawful and reasonable direction given by the WDC Secretariat, maintain appropriate confidentiality about dealings and businesses, disclose, and take reasonable steps to avoid, any conflict of real or apparent interest with other WDC Members. Use WDC Brand and name in a proper manner; not provide false or misleading information in response to a request for information that is made in regards to WDC; not make improper use of: inside information, or Member duties, status, power or authority, in order to gain, or seek to gain, a benefit or advantage for the Member or for any other entity, at all times behave in a way that upholds the WDC Values and Principles, and the integrity and good reputation of the World Design Consortium.
